Service AgreementThis AGREEMENT is made on the date set forth below by and between David Andrades, a Sole Proprietorship in the State of California, having a principal place of business hereinafter called David Andrades and ………………………..………..hereinafter called “CUSTOMER” as follows: CUSTOMER provides David Andrades with certain information relative to its operations which are the property of and confidential to CUSTOMER. David Andrades provides a certain service to CUSTOMER, the services being the property of and exclusive to David Andrades. The parties agree that neither shall disclose in any manner, directly or indirectly, or in whole or in part, to anyone not a party to this Agreement, any information concerning the business, operations, finances, property, suppliers, or vendors, contracts, processes, policies, plans or procedures of the other parties to any person or entity not party to this Agreement whether such information is obtained in connection with the services provided by David Andrades or obtained in any other manner or form. Any such information obtained by either party shall be and remain confidential and the parties agree not to disclose or divulge any such information at the time the services are provided or at any time thereafter. CUSTOMER hereby designates David Andrades as its exclusive agent for purposes of recovering CUSTOMERS guaranteed delivery refunds. CUSTOMER authorizes David Andrades to utilize whatever efforts are necessary to make the aforementioned recovery just as if CUSTOMER were undertaking the recovery itself and to utilize any means to obtain the recovery without further authorization from CUSTOMER. The initial TERM of this agreement shall be……months from the most recent date set forth by CUSTOMER signature below. This agreement will automatically renew for……successive months. CUSTOMER shall make PAYMENT to David Andrades in the amount of 50% of all refunds delivered to CUSTOMER. This PAYMENT shall be delivered by CUSTOMER to David Andrades Twice a month, upon invoicing. To assist with the proper invoicing, CUSTOMER shall also fax CUSTOMER’S carrier bill, showing refund given, to David Andrades upon receipt of such carrier bill.
